These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Inspex (“Inspex,” “we,” “us,” or “our”) governing your access to and use of the Inspex platform, websites, APIs, applications, and related services (collectively, the “Services”) offered at inspex.io. The Services include, without limitation, digital asset valuation, analytics, artificial intelligence-assisted analysis, document verification workflows, and a marketplace for buying and selling digital assets such as websites, SaaS businesses, domain names, mobile applications, and e-commerce properties.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY, AND “YOU” REFERS TO THAT ENTITY.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
Our Privacy Policy and Cookie Policy, and our Refund Policy are incorporated by reference. By using the Services you agree to those policies, including how we describe cookies and similar technologies. Where optional analytics or marketing cookies apply, your choices are managed through the cookie banner and preferences where we provide them.
1. Eligibility and accounts
1.1 Eligibility
You must be at least eighteen (18) years of age and capable of forming a binding contract under applicable law to use the Services. By registering, you represent and warrant that you meet these requirements.
1.2 Registration and credentials
You may be required to create an account and provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activity under your account. You must notify us promptly at hello@inspex.io of any unauthorized use or security breach.
1.3 Third-party connections
The Services may allow you to connect third-party accounts (for example, via OAuth to GitHub, GitLab, or similar services). Your use of those third-party services remains subject to their respective terms and privacy policies. You grant Inspex permission to access and use information from connected accounts as described in our Privacy Policy and as necessary to provide the Services you request. You may revoke access through your account settings or the third party's controls where available.
2. License to use the Services
Subject to your compliance with these Terms and payment of applicable fees, Inspex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes or personal non-commercial use, as applicable to your subscription or account tier. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent mandatory law permits.
3. Acceptable use
You agree not to:
- Use the Services in violation of any law, regulation, or third-party right, including intellectual property, privacy, and export control laws;
- Upload, transmit, or store malware, unlawful content, or material that is defamatory, harassing, fraudulent, or discriminatory;
- Interfere with or disrupt the integrity or performance of the Services or third-party data, including by scanning, scraping, or crawling except as permitted by robots.txt or our express written consent;
- Attempt to gain unauthorized access to the Services, other users' accounts, or Inspex systems;
- Use the Services to misrepresent the value, traffic, revenue, or ownership of any asset, or to facilitate money laundering, fraud, or market manipulation;
- Circumvent technical limitations, usage quotas, or billing mechanisms, or resell the Services without authorization.
We may investigate violations and cooperate with law enforcement. We may suspend or terminate access for conduct we reasonably believe violates these Terms or harms Inspex, users, or third parties.
4. User content and intellectual property
4.1 Your content
You retain ownership of data, documents, listings, and other materials you submit to the Services (“User Content”). You grant Inspex a worldwide, royalty-free license to host, store, reproduce, modify, display, distribute, and create derivative works from User Content solely as necessary to operate, improve, promote, and provide the Services, including training and improving models where permitted by our Privacy Policy and applicable law. You represent and warrant that you have all rights necessary to grant this license and that User Content does not infringe any third-party rights.
4.2 Inspex property
The Services, including software, branding, valuation methodologies, user interface, documentation, and aggregated anonymized analytics, are owned by Inspex or its licensors and are protected by intellectual property laws. Except for the limited license in Section 2, no rights are granted to you. Feedback you provide may be used by Inspex without obligation or compensation.
4.3 AI outputs and valuations
Outputs generated through artificial intelligence features (including those powered by OpenAI or other vendors) are provided for informational purposes only. Such outputs may be inaccurate, incomplete, or outdated. Inspex does not warrant that AI outputs are fit for any particular purpose.
Valuations, scores, estimated ranges, and similar metrics produced by the Services (including AI-assisted analysis) are non-binding estimates based on available data and models. They are not appraisals, guarantees of value, offers to buy or sell, or professional financial, tax, legal, accounting, or investment advice. Actual transaction prices depend on many factors we do not control. You are solely responsible for how you use these outputs and for obtaining independent professional advice before making decisions involving money, legal obligations, taxes, or transactions. You must verify information before relying on it for disclosures, listings, negotiations, or filings.
5. Marketplace
If you use marketplace features to list, browse, negotiate, or complete transactions involving digital assets, you acknowledge that Inspex may provide a venue, tools, and optional facilitation, but unless expressly stated in a separate written agreement for a specific transaction, Inspex is not the buyer, seller, broker, or escrow agent. You are solely responsible for the accuracy of listings, due diligence, negotiation, and consummation of any sale or purchase. Listings must comply with applicable law and these Terms. Inspex may remove or moderate listings that violate our policies or create legal or reputational risk. Fees for marketplace or success-based services, if any, will be disclosed at checkout or in order flows and are subject to change with notice as required by law.
6. Fees, billing, taxes, and cancellation
Certain features require payment. Fees, billing cycles, and renewal terms are presented at purchase. Payments are processed by Stripe or another designated payment processor. You authorize Inspex and its processors to charge your payment method for applicable fees. You are responsible for all applicable taxes other than taxes based on Inspex's net income. If payment fails, we may suspend access until payment is received.
Subscriptions. For recurring plans billed monthly or annually, you may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of your current billing period—you keep access until that date, and you will not receive a refund for the unused portion of the current period except where required by law. After the period ends, we will not renew the subscription unless you subscribe again.
Pay-as-you-go credits. Prepaid credit packs are not a subscription. Purchased credits are consumed as you use the Services; your right to use those credits generally continues until your balance is exhausted or your account is terminated as permitted by these Terms. Refund rules for prepaid credits are described in our Refund Policy.
Except as required by law or expressly stated at purchase or in the Refund Policy, fees are non-refundable. Cancellation does not relieve you of amounts already owed for the current billing period.
7. Disclaimers
THE SERVICES, INCLUDING VALUATIONS, MARKETPLACE LISTINGS, AND AI OUTPUTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSPEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INSPEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT VALUATIONS OR MARKET DATA REFLECT ACTUAL TRANSACTION PRICES OR FAIR MARKET VALUE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INSPEX OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF INSPEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSPEX'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO INSPEX FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO INSPEX.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, INSPEX'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You will defend, indemnify, and hold harmless Inspex and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Services, your marketplace transactions, your violation of these Terms, or your violation of any law or third-party rights.
10. Term and termination
These Terms remain in effect until terminated. You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, for conduct that we reasonably believe violates these Terms, creates risk or possible legal exposure for Inspex, or for prolonged inactivity, subject to applicable law. Upon termination, Sections intended to survive (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions) will survive. We may delete your account data in accordance with our Privacy Policy and retention practices.
11. Governing law and venue
These Terms and any dispute arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services, except that Inspex may seek injunctive or equitable relief in any court of competent jurisdiction.
12. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If a change is material, we will provide additional notice as appropriate (for example, by email or in-product notification). Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes, to the extent permitted by law. If you do not agree, you must stop using the Services.
13. General
These Terms constitute the entire agreement between you and Inspex regarding the Services and supersede prior agreements on the subject matter. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Inspex's prior written consent; Inspex may assign freely. Notices to you may be sent to the email associated with your account.
